EdgeMode Signs 300 MW Spain Data Center Deal With Spark AI
EdgeMode has agreed to a non-binding offer with Spark AI Foundry Holdings to sell its 300 MW hyperscale data center project in Spain.
EdgeMode, Inc. (OTC: EDGM) announced Sunday that it has entered into a non-binding offer with Spark AI Foundry Holdings LLC covering its 300-megawatt IT hyperscale data center campus in the Municipality of Mora, Toledo, Spain — a deal that could significantly accelerate the Florida-based company's growth trajectory in the European AI infrastructure market.
Under the terms of the agreement, Spark AI Foundry Holdings will acquire 100% of the share capital of DC Estate Malpica, S.L., the special purpose vehicle that legally owns the Malpica project, once the development reaches Ready-to-Build status. The structure is a common mechanism in large-scale infrastructure transactions, allowing a buyer to commit interest early while the seller completes permitting, grid connections, and other pre-construction milestones.

The Malpica project represents a substantial bet on Europe's surging appetite for AI-grade compute capacity. Hyperscale data centers of this scale — 300 MW of IT load — typically serve major cloud and AI workloads, and Spain has emerged as an attractive destination for such investment given its renewable energy resources and improving connectivity infrastructure.
As a non-binding offer, the transaction carries no guarantee of closing, and final terms would be subject to due diligence, regulatory review, and the project achieving RTB milestones. Investors should weigh that distinction carefully as EdgeMode trades on the OTC markets, where disclosure standards differ from major exchanges.
