Cycurion to Buy Kustom Entertainment Video Unit in July 2026 Deal
Cybersecurity firm Cycurion signs asset purchase deal for Kustom Entertainment's video division, adding ~1,000 clients and ~58 patents.
Cybersecurity company Cycurion, Inc. (NASDAQ: CYCU) announced Monday it has signed an Asset Purchase Agreement, dated June 24, 2026, to acquire substantially all assets of Kustom Entertainment's (NASDAQ: KUST) video-solutions division, with the deal expected to close in early July 2026. The McLean, Virginia-based firm said the acquisition would bring approximately 1,000 new clients and a portfolio of roughly 58 patents into its fold without diluting existing shareholders.
The targeted business unit covers a broad swath of Kustom Entertainment's operations, including the development, sale, licensing, support, and servicing of video hardware, camera products, platforms, and software solutions. For Cycurion, which specializes in AI-driven cybersecurity and managed IT services, the addition of a mature video-technology segment represents a strategic pivot toward hardware-adjacent intellectual property and an expanded enterprise customer base.

The non-dilutive structure of the deal is a notable feature, signaling that Cycurion does not plan to issue new shares to finance the acquisition — a factor likely to be closely watched by existing investors wary of equity dilution. The roughly 58-patent portfolio could also provide the company with licensing leverage and defensive intellectual property assets as it competes in an increasingly crowded cybersecurity market.
Closing of the transaction remains subject to the satisfaction or waiver of standard closing conditions outlined in the Asset Purchase Agreement. If the timeline holds, the integration of Kustom's video assets would begin in the third quarter of 2026, potentially affecting Cycurion's near-term financials and operational capacity as it absorbs a new business segment.
